Terms of Service

The short version
- Your organization owns its data. We use it only to provide the Service.
- SafeVoice Daily surfaces concerns and suggests next steps. Leaders are responsible for acting on results, and results are not a basis for discipline or employment decisions.
- SafeVoice Daily is not a crisis, medical, or legal reporting service.
- Pilots are free for 90 days with no automatic charge. Paid plans are billed annually per active user.
1. Agreement to these terms
These Terms of Service ("Terms") are an agreement between Andre's Labs, LLC, an Idaho limited liability company ("Andre's Labs," "we," "us"), and the organization that signs up for SafeVoice Daily ("Customer"), and they also apply to each person who uses the Service through a Customer's account ("User"). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it.
If a Customer has a separate signed agreement with us, that agreement controls where it conflicts with these Terms. Our Privacy Policy explains how we handle personal information.
2. The Service
SafeVoice Daily ("Service") provides daily check-in prompts, a private journal, the option to share entries with a manager, pulse surveys, team and organization dashboards, and recommended actions for leaders. Features labeled "Coming soon" are not yet available and are not part of the Service until they are released. We may improve or change the Service over time. If we remove a material feature a paying Customer relies on, we will give reasonable notice.
3. Accounts and administrators
- Customers choose who to invite and assign each User a role. Administrators (CEO or HR roles) can change roles, reporting lines, and deactivate Users.
- Users must provide accurate information and keep their sign-in credentials secure.
- Users must be at least 18 years old.
- Customers are responsible for activity under their accounts and must tell us promptly about any unauthorized use.
4. Customer responsibilities
The Service works only when people trust it. By using it, the Customer agrees to:
- Tell Users, before they start, what the Service is for, what managers and leaders can and cannot see, and how results will be used.
- Not use check-ins, survey results, or participation data as the basis for discipline, performance ratings, or other employment decisions about an individual, and not pressure Users to share private entries or reveal their survey answers.
- Not attempt to identify the author of anonymous survey answers or private entries.
- Not retaliate against anyone for what they share through the Service.
- Review results and respond to employees within a reasonable time. As explained on our website, asking people for input and then not acting on it can reduce trust. Outcomes depend on the Customer's actions.
- Have its own process for handling reports that require formal action, such as harassment, discrimination, safety, or legal complaints.
- Comply with laws that apply to its workplace, including employment, labor, and privacy laws.
5. Acceptable use
No one may use the Service to:
- Break the law or violate anyone's rights.
- Harass, threaten, or discriminate against anyone.
- Enter patient health information, student records, or other people's sensitive personal information.
- Upload malicious code, probe or test the Service's security without our written permission, or interfere with its operation.
- Access data that their role does not allow, or attempt to get around access controls.
- Copy, resell, or build a competing product from the Service.
We may suspend access that violates these rules or puts the Service or other Users at risk. Where practical, we will tell the Customer first.
6. What SafeVoice Daily is not
- Not a crisis service. Entries are not monitored in real time. If someone is in danger, call 911. For a mental health crisis in the U.S., call or text 988.
- Not medical, counseling, or legal advice. Prompts, nudges, and recommended actions are general leadership guidance based on organizational psychology research.
- Not a formal reporting channel. Sharing an entry with a manager is not a formal complaint, whistleblower report, or legal notice, unless the Customer's own policies say otherwise.
- Not a guarantee of results. Turnover and cost estimates on our website and in the Service are estimates for planning only.
7. Pilots, fees, and billing
- Free pilot: new Customers may use the Service free for 90 days. There is no automatic charge when the pilot ends. To continue, the Customer chooses a paid plan.
- Paid plans: fees are listed on our pricing page or in an order form, are charged per active user per month, and are billed annually in advance. An active user is anyone who signed in or submitted a check-in during that month.
- Payment: invoices are due within 30 days unless an order form says otherwise. Fees do not include taxes, which the Customer pays unless it provides a valid exemption certificate.
- Price changes: we will give at least 30 days' notice before a price change takes effect at the Customer's next renewal.
- Refunds: fees are non-refundable except where these Terms or the law say otherwise.
8. Your data
- Ownership: the Customer and its Users own the content they put into the Service ("Customer Data"). We claim no ownership of it.
- Our use: the Customer gives us permission to host, process, and display Customer Data only as needed to provide, secure, and support the Service, as described in the Privacy Policy. We may create aggregate statistics that do not identify any person or Customer to improve the Service.
- No sale or training: we do not sell Customer Data, use it for advertising, or use check-in or survey content to train AI models.
- Export and deletion: a Customer may request an export of its data before or within 30 days after the end of its subscription. We delete Customer Data within 30 days after the subscription ends, and backup copies are removed as backups expire, within 90 days.
- Data processing agreement: Customers that need a data processing agreement can request one at the contact address below.
9. Our intellectual property
Andre's Labs owns the Service, including its software, design, prompts, survey templates, research-based content, and the SafeVoice Daily name and logo. We give the Customer and its Users a limited, non-exclusive, non-transferable right to use the Service during the subscription for the Customer's internal purposes. If you send us feedback or suggestions, we may use them without obligation to you.
10. AI-generated content
Some features, such as leadership nudges and suggested survey questions, are generated with AI. AI output can be incomplete or wrong. Review it before relying on it, and use your own judgment when acting on it.
11. Confidentiality
Each party will protect the other's non-public business information with at least reasonable care, use it only to perform under these Terms, and share it only with people who need it for that purpose and are bound to keep it confidential. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with prompt notice to the other party where allowed).
12. Term and termination
- These Terms apply while the Customer uses the Service. Paid subscriptions renew for the same term unless either party gives notice of non-renewal at least 30 days before the renewal date.
- Either party may end the agreement if the other materially breaches it and does not fix the breach within 30 days of written notice.
- We may suspend or end access immediately for serious violations of section 5 or if required by law.
- When the agreement ends, access stops and Customer Data is handled as described in section 8. Sections that by their nature should continue (including 8 through 11 and 13 through 17) survive.
13. Disclaimers
We will provide the Service with reasonable skill and care. Otherwise, to the extent the law allows, the Service is provided "as is" and "as available," and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Service will be uninterrupted or error-free, or that using it will reduce turnover or produce any particular result.
14. Limitation of liability
To the extent the law allows: (a) neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised they were possible; and (b) each party's total liability arising out of or related to these Terms will not exceed the amounts the Customer paid us for the Service in the 12 months before the claim (or $100 if the Customer has paid nothing). These limits do not apply to a party's indemnification obligations, a Customer's payment obligations, or liability that cannot be limited by law.
15. Indemnification
The Customer will defend and indemnify Andre's Labs against third-party claims arising from the Customer's use of results from the Service to make employment decisions, its violation of section 4 or 5, or its violation of law. We will defend and indemnify the Customer against third-party claims that the Service, as we provide it, infringes that party's intellectual property rights. The party seeking indemnity must give prompt notice, reasonable cooperation, and control of the defense.
16. Governing law and disputes
These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-law rules. The parties will first try to resolve any dispute informally by contacting each other. If that does not work within 30 days, the dispute will be decided in the state or federal courts located in Idaho, and both parties consent to their jurisdiction. If a Customer is a government entity whose laws require a different governing law or forum, the law that applies to that entity controls.
17. General terms
- Changes: we may update these Terms. We will post the new date at the top and notify Customers of material changes at least 30 days before they take effect. Continuing to use the Service after that means the Customer accepts the changes.
- Assignment: neither party may transfer these Terms without the other's consent, except to a successor in a merger, acquisition, or sale of substantially all related assets.
- Force majeure: neither party is responsible for delays caused by events beyond its reasonable control.
- Entire agreement: these Terms, the Privacy Policy, and any order form are the entire agreement on this subject. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver.
- Notices: we send notices to the Customer's account email. Notices to us go to the address below.
